Articles of Association of Guangdong (Nanhai) Aluminum Processing Industry Alliance

Chapter I General Principles

Article 1 The Guangdong (Nanhai) Aluminum Processing Industry Alliance (hereinafter referred to as "the Alliance"), abbreviated as "GAPIA".

Article 2 The Alliance is a non-profit cooperative organization jointly formed by the enterprises, scientific research institutions, universities and colleges dedicated to aluminum processing and aluminum industry, and experts and scholars who have certain technical expertise in the industry and enthusiastically support the work of the Alliance to actively promote the development of the aluminum processing and aluminum industry in accordance with the principles of voluntariness, equality, cooperation and development.

Article 3 The purpose of the Alliance: Guided by the national policies on aluminum industry, with the purpose of improving the core competitiveness of member enterprises, to integrate the industrial resources and social resources, build an advanced operating system for the aluminum processing industry, and jointly solve the key and common problems to the development of aluminum processing industry and promote the quality, healthy and steady development of the industry.

Article 4 The Alliance complies with the national laws, regulations and policies, and other relevant regulations of the industry.

Article 5 The Alliance accepts the business guidance of the Economic Promotion Bureau of Nanhai District, Foshan City.

Article 6 The Alliance adheres to the service concept of "setting foot in Nanhai, facing the world, and serving the industry". It is initiated by the Foshan Nanhai Aluminum Profile Industry Association, and all members of the Foshan Nanhai Aluminum Profile Industry Association and all companies of the aluminum-related industry join the Alliance voluntarily.

Chapter II Mission of the Alliance

Article 7 The core task of the Alliance is to promote the optimization and upgrading of the aluminum processing industry structure in Nanhai of Guangdong, form a resource sharing mechanism for information, technology, and achievements in the aluminum processing industry, establish channels for effective communication with the government and industry authorities, and build the platform of talent cultivation, technology exchange, achievement transformation, industrial development and international cooperation, promote the development of the members of the Alliance, improve the display of technological progress in industrial upgrading and development, and enhance the overall cohesion and competitiveness of Guangdong (Nanhai) aluminum processing industry.

Article 8 Main tasks:

(1) Organize members and related institutions to focus on the key issues of technological innovation in the aluminum processing industry, carry out cooperative research, research on core technologies, develop new equipment, and develop new processes, form the core competitiveness of the aluminum processing industry and establish industrial technology standards.

(2) Become a platform for technology and management information sharing, personnel training, technical exchange and cooperation among members of the Alliance, and promote the effective use of resources within the Alliance;

(3) Provide various forms of technical services to the members of the Alliance, solve the technical needs and technical problems of the enterprises, promote the transformation of scientific research results, and help the enterprises upgrade technology;

(4) Safeguard the legitimate rights and interests of the members, develop good relations between the members and consumers, and assisting the members to solve problems during quality development;

(5) Jointly cultivate talents, strengthen the cultivation and training of industrial technology innovation talents, and provide talent support for continuous industrial innovation;

(6) Strengthen contacts with domestic and foreign aluminum processing organizations, industrial alliances and other relevant institutions, regularly carry out academic exchange activities, organize industry experts to realize technical exchange and cooperation with the members;

(7) Other related work that conforms to the purpose of the Alliance and is conducive to the development of the Alliance.

Chapter III Members

Article 9 The Alliance is an open organization. The following units can voluntarily apply to become members of the Alliance: enterprises related to the aluminum processing industry chain, technical institutions related to the aluminum processing industry, management and service institutions, universities, research institutes, and other groups.

Article 10 Procedure of joining as the members of the Alliance:

(1) Recognize and abide by the Articles of Association and voluntarily submit application to the Secretariat of the Alliance;

(2) The Secretariat of the Alliance submits the application to the Council after preliminary examination;

(3) The executive deputy chairman review if the enterprise shall be approved;

(4) The Secretariat of the Alliance announces the list of members in relevant platform of the Alliance.

Article 11 Rights of members of the Alliance:

(1) Participate in the general meeting of the Alliance, participate in the discussion or vote on the affairs of the meeting as stipulated in the Articles of Association;

(2) Enjoy the right to vote and be elected in the Council, and the right to recommend the Technical Expert Committee of the Alliance;

(3) Participate in meetings of the Alliance and participate in discussions on major issues related to the Alliance development;

(4) Inquiry about the financial income and expenditure of the Alliance;

(5) Give priority to collaboration with members of the Alliance;

(6) Participate in regular and irregular information and technical exchanges, training and other activities held by the Alliance;

(7) Participate in various large-scale technical exchange and training activities organized by the Alliance;

(8) Participate in technical inspections, exchanges and cooperation activities organized by the Alliance.

Article 12 Obligations of members of the Alliance:

(1) Recognize and abide by the Articles of Association of the Alliance;

(2) Actively participate in the construction of the alliance and contribute to the promotion of quality development of the aluminum processing industry;

(3) Designate a liaison to be responsible for contacting the daily work of the Secretariat and provide the Alliance with relevant materials such as information about the unit that can be released to the outside world;

(4) Undertake the work entrusted by the Alliance and support and actively participate in activities organized by the Alliance;

(5) Be responsible for keeping confidential the relevant information and materials compiled by the Alliance and the statistical data provided by members of the Alliance, etc., which are not allowed to be reprinted and resold. The materials are not allowed to be published publicly without permission;

(6) Without the written permission of the Alliance, it is not allowed to conduct business, hold activities or make speeches in the name of the Alliance.

Article 13 Members of the Alliance are free to resign. Members should submit a written application to the Secretariat 30 days in advance and return the membership certificate. Thirty days after submitting the application, the member may withdraw from the Alliance. After a member of the Alliance withdraws from the alliance, it may not apply for rejoining the Alliance within one year.

Article 14 When one of the following situations occurs, the member of the Alliance shall be delisted after being approved by the meeting of the Council:

(1) Serious violation of the Articles of Association of the Alliance and related regulations;

(2) Not participating in the activities organized by the Alliance for two consecutive years;

(3) Serious violation of national laws and damage to the image of the Alliance;

(4) No longer having the membership qualification in the Alliance for other reasons.

Article 15 The Alliance does not charge membership fees. The members of the Council take turns to undertake the internal activities of the Alliance.

Chapter IV Organization Structure, Generation and Dismiss of the Leaders

Article 16 The Alliance is composed of the General Meeting, the Council, the Board of Supervisors, the Secretariat, etc.

(1) The General Meeting is a meeting participated into by all the members of the Alliance, and is the highest decision-making body of the Alliance.

(2) The Council is a permanent body of the Alliance. During the intersessional period of the General Meeting, it leads the Alliance to carry out daily work and is responsible to the Members Meeting of the Alliance. The Council sets one Chairman, one Executive Deputy Chairman and several Executive Deputy Chairman. The term of office for the Council members last for three years, and may continue to serve the post at the expiration of the term if being re-elected.

(3) The Board of Supervisors is the inspection and supervision organization of the Alliance, and the results of the inspection and supervision serve as a reference for the resolutions made by the Council. The Supervisors are elected by the Council, and one Chief Supervisor is set. The term of office for the supervisors are the same as that of the Council, and may continue to serve the post at the expiration of the term if being re-elected.

(4) The Secretariat is responsible for the daily affairs of the Alliance, and has one secretary-general, which is served by a non-chairman director. The Secretariat may request the establishment of the deputy secretary-general to the members meeting according to the needs of the work.

Article 17 General Meeting of the Alliance

Responsibilities of the General Meeting:

(1) To review and approve the amendment of the Articles of Association;

(2) Discuss the development plan and working principles of the Alliance;

(3) To discuss and approve the annual work plan of the Alliance;

(4) To review and approve the annual work report of the Alliance;

(5) To review and approve the annual financial report of the Alliance;

(6) To elect and remove members of the Alliance;

(7) To determine the change and termination of the Alliance;

(8) To determine other major issues of the Alliance.

Article 18 The General Meeting of the Alliance include the annual meeting and temporary meetings of the Alliance, which shall be convened by the Chairman or the Executive Deputy Chairman. The annual meeting of the General Meeting of the Alliance is held once a year; during the intersessional period of the General Meeting of the Alliance, in the event of a major or emergency situation, a temporary meeting of the General Meeting of the Alliance may be convened upon the proposal of more than half of the members of the Alliance, more than half of the Council members, the Secretary-General or the Chairman.

Article 19 Council

Responsibilities of the Council:

(1) To examine and approve the management system of the Alliance;

(2) To discuss the development plan, annual work plan and innovation project plan of the Alliance to be submitted to the General Meeting;

(3) To discuss the annual work report of the Alliance to be submitted to the General Meeting;

(4) To discuss the annual financial budget and final report of the Alliance to be submitted to the General Meeting;

(5) To discuss the work report of the Secretariat to be submitted to the General Meeting;

(6) To elect and dismiss the Chairman, Executive Deputy Chairman, Deputy Chairman and Chief Supervisor;

(7) To discuss the resolutions to change or terminate the Alliance to be submitted to the General Meeting;

(8) To discuss other major issues to be submitted to the General Meeting;

Responsibilities of the Chairman are:

(1) To preside over the meeting of theCouncil;

(2) To formulate the development strategy of the Alliance;

(3) Suggest to nominate the Executive Deputy Chairman and the candidates for Executive Deputy Chairman.

Article 20 The Council shall meet once a year, which will be convened by either the Chairman or the Executive Deputy Chairman. Under special circumstances , the meeting may be convened by means of communication.

Article 21 Procedures for the creation of the Council

(1) Right to nominate:

The members of the first Council shall be the members of the initiating unit of the Alliance. The nomination of the members of each Council in the future shall be the responsibility of the previous Council. If the previous Council cannot perform the nomination duties, the Secretariat shall perform the nomination duties instead.

(2) The nominated members vote:

The nominated members should voluntarily participate in the Council and be willing to perform the duties of the Council and assume corresponding obligations.

When the number of members the Council is not full, they can make supplements, which are recommended jointly by no less than two official members of the Alliance, and they are voted and approved at the meeting under the Council according to this method.

Article 22 The term of office of the Council is 5 years. The nominees and the Secretary-General of the Secretariat, which were confirmed and approved at the General Meeting, form a new Council.

Article 23 The Chairman, Executive Deputy Chairman, and Deputy Chairman shall serve for a term of 5 years (must be within the term of the Council, and shall terminate when the term of Council terminates under special circumstances).The post of Chairman is decided by the Council through voting. The Executive Deputy Chairman and the Deputy Chairman are nominated by the Chairman, and approved by the Council after voting.

Article 24 When the members of the Council are unable or unwilling to perform their duties for a long time, they can be replaced by the recommended members according to the classification of the nomination method, but they must be approved by the other members of the Council, and if necessary, convene a temporary General Meeting to confirm the replacement.

Article 12 Board of Supervisors

Responsibilities of the Board of Supervisors are:

(1) To be responsible for inspecting and supervising the implementation of the Alliance's operations, the implementation of the resolutions of the General Meeting and the Council;

(2) To be responsible for the inspection and supervision of the financial status of the Alliance;

(3) To be responsible for inspecting and supervising the implementation of the Articles of Association and standards of the Alliance.

Duties of the Chief Supervisor are:

(1) To formulate the work plan of the Board of Supervisors;

(2) To carry out inspection and supervision regularly or irregularly;

(3) To be responsible for reporting inspection and supervision results to the General Meeting and the Council.

Article 26 Secretariat

Responsibilities of the Secretariat are:

(1) On behalf of the Alliance, to contact the relevant competent administration of Nanhai District, and organize and implement relevant work in accordance with relevant policies and regulations;

(2) To formulate and implement the daily work management system, business processes, and job responsibilities of the Alliance;

(3) To be responsible for the daily and conference organization work of the General Meeting, the Council and Technical Expert Committee of the Alliance;

(4) Organizing and implementing the resolutions of the Council of the Union;

(5) To prepare the annual work report and financial budget and final accounts report of the Alliance, and submit it to the General Meeting for consideration and approval;

(6) To accept the application for membership, and conduct a preliminary review of the qualifications of the applicant unit;

(7) In accordance with the Articles of Association and relevant management systems of the Alliance, to propose to delist members who violate the rules and accept applications for withdrawal from the Alliance;

(8) To organize and implement other daily work of the Alliance.

Chapter V Principles on Assets Management and Utilization

Article 27 The Secretariat shall be responsible for the funding and financial management of the Alliance. It shall carry out accounting calculations in accordance with the law, establish and improve the internal accounting supervision system, and ensure that the accounting information is legal, true, accurate and complete. The Board of Supervisors shall inspect the work of the Secretariat.

Article 28 The funds for the Alliance activities mainly come from the following aspects:

(1) Supporting funds given by the government;

(2) Funds voluntarily provided by members of the Alliance, such as project R&D funds and operation support funds;

(3) Revenue from services and activities within the business scope;

(4) Income from paid use of industrialization of achievements;

(5) Banking interests;

(6) Other legal income.

Article 29 Use of funds

Alliance funds are mainly used to ensure the daily operation and technical exchange activities of the Alliance.

Article 30 Management of funds

The funds for the Alliance are earmarked for use, and the Executive Council entrusts the Secretariat to manage the funds. The use of funds shall be submitted by the Secretariat for budget application and reported to the Chairman or Executive Deputy Chairman for approval.

Article 31 The assets of the Alliance are protected by national laws, and no unit or individual may embezzle, privately divide or embezzle the assets.

Chapter VI Termination Procedures and Property Disposal upon Termination

Article 32 If the following situations occur, the Alliance may be revoked after voting by the General Meeting:

(1) The existence of the Alliance is inconsistent with government laws and regulations;

(2) There is no need for the existence of the Alliance since its mission has been completed;

(3) Due to special reasons, the Alliance is unable to work effectively.

Article 30 Termination Procedures

(1) The Council proposes a motion for termination;

(2) The termination motion shall be approved by more than 2/3 members of the General Meeting for approval, and then the Alliance can be terminated.

Article 34 Before the termination of the Alliance, liquidation team shall be set up to settle the debits and creditors and handle any related issues. During the liquidation period, the Alliance shall not commence any other activities except liquidation.

Property VII Supplementary Principles

Article 35 The relevant articles or unspecific matters of the Articles of Association may be amended or supplemented by the vote of the Council.

Article 36 The interpretation of the Articles of Association is the responsibility of the Secretariat.

Article 37 The Articles of Association shall come into effect as of the date of discussion and adoption by the founding conference of the Alliance.
